Company Law and Governance

ASK A QUESTION

Company law sets out what directors and shareholders can and can’t do, and getting a decision wrong, procedurally or otherwise, can be costly to unpick. We advise on governance, directors’ duties and compliance, so the decisions you take stand up to scrutiny.

Directors’ duties

Directors have legal duties under the Companies Act 2006: to act within their powers, promote the success of the company, exercise independent judgement, and avoid conflicts of interest, among others. We advise directors on what these duties mean in practice, particularly where a decision is contentious or a conflict of interest is involved.

Board and shareholder decisions

Some decisions need board approval, others need shareholder approval, and getting the process wrong can mean a decision doesn’t hold up later. We advise on what authority a particular decision needs, and help make sure it’s properly recorded.

Compliance

Companies House filings, statutory registers, and the everyday requirements of running a company under the Companies Act are easy to let slip when you’re busy. We help keep this on track, and advise where something’s been missed.

A decision taken the right way is far harder to challenge later than one that was simply the right call.
